The Cayman Islands has been regularly used for special-purpose companies as the formal issuers of Sukuk for several years. In February 2020, the Cayman Islands was added to the EU’s blacklist of non-cooperative jurisdictions following a meeting of EU finance ministers. Ireland is a common law jurisdiction within the EU and a member of the OECD. The use of Irish SPVs as debt issuers, when structured correctly, can result in little or no taxable profit or leakage. Being tax-resident in Ireland also gives access to Ireland’s double taxation treaties. Ireland has signed more than 74 such treaties.

The SEC approved on an accelerated basis a FINRA proposal to add Consolidated Audit Trail ("CAT") compliance rules to FINRA's Minor Rule Violation Plan ("MRVP"). The SEC approval order was published in the Federal Register on May 20, 2020.

As previously covered, the MRVP is intended to provide "reasonable but meaningful sanctions" for violations of rules that are minor or technical and may not warrant more robust, immediately reportable disciplinary sanctions. Under the rule changes, FINRA will have the flexibility to "administer its enforcement program in the most effective and efficient manner, while still fully meeting FINRA's remedial objectives in addressing violative conduct."

The SEC deemed a full notice-and-comment period not necessary before approving the FINRA proposal. As a result, the rule change goes into effect immediately. Comments on the changes may be submitted to the SEC until June 10, 2020.

Just two days ago, the British Broadcasting Corporation, the world’s leading public service broadcaster, put out the news that Cambridge University’s lectures would be online-only until the summer of 2021 due to the COVID-19 pandemic.

Even though the BBC noted that Cambridge also said “it may be possible to host smaller teaching groups in person,” the headlines caused many to believe that one of the world’s best-known and most prestigious universities would be closed for the start of the next academic year.
